Our transactional practice is diverse. We advise clients on commercial structures, joint venture arrangements, shareholder and licensing agreements, senior management contracts, leasing agreements, infrastructure financing and contracts, master services agreements and distributor agreements, conveyancing, title investigation and certification and operating vendor contracts.
This includes drafting, negotiating and editing bilateral and multilateral contracts in simple and complex transactions. We regularly provide legal opinions on India law and New York law for international closings.
Our transactional practice broadly covers telecommunications and information technology, branded and generic pharmaceuticals and healthcare, oil and gas, renewable and sustainable energy, hospitality, textiles, civil aviation, professional services, food and beverages, metals and minerals, education and many others.
We represent and defend international companies in the Bombay High Court and the Supreme Court of India (as well as in other courts across India). We focus on quickly resolving disputes through settlement and negotiations, and readily defend clients in courts when negotiations fail, or settlements become futile. We also advise and represent clients in international commercial arbitrations and for the enforcement of awards under the New York and Geneva conventions. Our founder is a Member of the Chartered Institute of Arbitrators, London and the London Court of International Arbitration.
Our regulatory and compliance practice provides strong risk mitigation and preventive guidance to international companies, foreign directors and officers on the board of Indian subsidiary companies. This also includes working with tax and audit professionals and labor and HR consultants, to provide clear advice to clients on regulatory and compliance issues. Our compliance practice encompasses – corporate compliance under the Companies Act, 2013; investment compliance under the various foreign direct investment laws, rules and regulations; HR compliance under various labor laws; and local law compliance under state and municipal laws.

Our charitable and non-profit law practice is dual focused. In the US, we counsel non-profits on real estate and tax exemption issues. In India, we represent and guide public and private charitable trusts, and waqfs, on various commercial and philanthropic issues.
We consciously contribute significant hours towards pro bono advice to several boards of directors and trustees. In addition, our founder serves as a trustee on several charitable trusts. He also counsels individuals and families in business ventures and for dispute resolution through best settlement practices.
We proactively guide clients in protecting their intellectual property by timely filing trademark and copyright applications and giving patentability opinions. We work closely with lawyers in other international jurisdictions for the global protection of our clients’ intellectual assets.
